Subscription packages Terms of service.

Scope and use of the subscription:

These terms, and any agreements that arise from them, relate to the design, build and ongoing support of websites built by 3B Digital Ltd. on the hosted CMS platform, Squarespace, as paid for by means of a regular subscription to one of our packages.

The agreed subscription package will allow for the services outlined herein to be delivered and subsequent website(s) to be hosted, supported and updated to the degree specified in that chosen subscription package.

What is covered by the subscription packages:

  • Initial site design build.

  • Specified content updates pcm as per chosen subscription package.

    • Includes appropriate (free library or client’s own) image acquisition / manipulation / clean-up.

    • “Unused” updates do not roll over to subsequent months.

  • Ongoing “on-site” Search Engine Optimisation (SEO).

What is not covered by the subscription packages (unless specifically agreed otherwise):

  • Effort spent creating Brand Identity (corporate ID / logos / style guides etc.).

  • Domain management can be either the responsibility of the client or 3B Digital Ltd. For 3B to manage this on your behalf, typical domain names are £60 + VAT per year.

  • “Off-site” SEO.

  • Ad management & analysis.

Ownership:

3B Digital Ltd. retains administrator ownership of the website (notwithstanding images created, bought or owned by the client) until the specified contract period expires and / or the termination of the contract. Then site ownership can then be purchased (at a pre-agreed cost) from 3B Digital Ltd. and ownership transferred accordingly.

Liability:

Clients are required to ensure that all copyright and ownership rights have been secured for all data, images & content that 3B Digital Ltd. are asked to display on the website. 3B Digital Ltd. does not take responsibility for any legal issues arising for the use of content or assets for which copyright usage has not been secured by the client.

Content Management:
The site delivered by 3B Digital can be managed - in terms of content, new blog items etc. - by the client ongoing but the terms of this subscription service affords the client the opportunity to request reasonable content additions up to a maximum number of requests per month according to the agreed package. The actioning of any such request of 3B Digital Ltd. will rely on clear & timely submission of that request - any any related assets (images / content etc.) to 3B.

For the purpose of these subscription packages content “updates” refer to page content changes & updates, or the creation of a new page or blog article. “Updates” does not mean security updates or platform updates and migrations or major layout changes.

Data Security, Confidentiality and Non-Disclosure Agreements (NDAs):

3B Digital Ltd. consults on, and fully complies with, the current and accepted data security and protection guidelines - including the General Data Protection Regulation (GDPR) and 

The UK Data Protection Act 2018 requirements. Any site user details collected is one or more of: sent to the client by email, stored on Squarespace’s servers for subsequent processing, stored on Google Sheets, or sent to Mailchimp in the case of email newsletter signups.

3B Digital Ltd. will take all reasonable measures to maintain the hosted service at all times. 3B Digital Ltd. cannot be held responsible for any loss or damage to the client’s business resulting from Squarespace server failure and / or downtime. The client understands that any loss or damage to their business is not covered under the terms of this subscription.

3B Digital Ltd. is happy to sign client-approved NDA - we can provide a Reciprocal Confidential NDA if required.

Force Majeure & site misuse:

Except to the extent provided in this Agreement, 3B Digital Ltd. shall not be liable for any default or delay in the performance of its obligations under this Agreement if and to the extent such default or delay is caused, directly or indirectly, by a force majeure, and provided the non-performing Party is without fault in causing such default or delay, and such default or delay could not have been prevented by reasonable precautions and could not reasonably be circumvented by the non-performing Party through the use of alternate sources, workaround plans or other means.

In the event that the client (or its agent other than 3B Digital Ltd.) updates the website and damages its design or impairs the ability for the web pages to display or function properly, 3B Digital Ltd. will endeavour to correct the problem as promptly as possible. 3B Digital Ltd. reserves the right to charge for any resulting effort & time.

Payment details:

Site subscriptions are to be settled monthly in advance by Standing Order on the 1st of every calendar month (unless agreed otherwise). Our bank payment details will be provided to the client upon commission and subscription agreement. Failure to settle each month can result in termination of the subscription and the site being taken offline.

Duration and termination of the subscription:

The duration of the agreed subscription contract is specific to the agreed package and relies on regular and timely monthly subscription fees paid by Standing Order.

The subscriptions run from the date, as specified in the Formal Quote or agreement. At the end of the period, the subscription will automatically renew for another period unless terminated by the Customer.

Subscriptions may be terminated by email to support@3bweb.com, at least one month before the expiry of the subscription (i.e. for subscriptions with yearly renewal term running from April to March, the termination notice must be received before the end of February). The agreement cannot be terminated for a period of subscription already initiated and the Customer will not be entitled to a refund for that subscription period.

The Customer may terminate any subscription free of charge within two weeks from date of signature of the Agreement, provided that the Customer did not start using 3B Digital’s Services.

In the event of any of the Parties filing for bankruptcy, the agreement will be terminated, and all services will be terminated immediately, unless otherwise specifically agreed in writing between the Parties.

Glossary:

“Force Majeure Event” means an event, or a series of related events, that is outside the reasonable control of the party affected (including failures of the internet or any public telecommunications network, failures of the Provider's hosting provider, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, industrial disputes affecting any third party, changes to the law, disasters, explosions, fires, floods, riots, terrorist attacks and wars).
